CONTINUED OBLIGATION POST-TERMINATION: UPON THE CONCLUSION OF THESE TERMS, REGARDLESS OF THE TERMINATING PARTY, BOTH YOU AND ZNF REMAIN BOUND BY ALL PROVISIONS OF THIS AGREEMENT, EXCEPT THOSE SPECIFICALLY PERTAINING TO LIMITED LICENSE AND MODIFICATIONS TO SERVICE.

GOVERNING LAW AND JURISDICTION. THIS AGREEMENT, INCLUDING ANY SALES AND/OR SERVICES PROVIDED BY Z NATURAL FOODS (ZNF), SHALL BE EXCLUSIVELY GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF FLORIDA, UNITED STATES OF AMERICA, EXCLUDING ITS CONFLICT OF LAWS PRINCIPLES THAT WOULD MANDATE THE APPLICATION OF LAWS FROM ANOTHER JURISDICTION. BOTH YOU AND ZNF IRREVOCABLY AGREE TO SUBMIT TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE COURTS LOCATED WITHIN THE STATE OF FLORIDA, U.S.A., FOR ANY AND ALL DISPUTES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF THE ZNF WEBSITE AND SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTH PARTIES CONSENT TO THE EXCLUSIVE JURISDICTION AND VENUE OF ARBITRATION IN FLORIDA, U.S.A., FOR ALL DISPUTES ARISING FROM OR RELATED TO THE USE OF ZNF WEBSITE AND SERVICES. SPECIFIC EXCLUSIONS: THIS LIMITATION OF LIABILITY APPLIES TO ALL DAMAGES RESULTING FROM THE USE OR INABILITY TO USE ZNF'S SERVICES, ANY WEBSITE LINKED FROM ZNF'S SITES, OR ANY OTHER FORM OF USER INTERACTION WITH ZNF INCLUDING BUT NOT LIMITED TO FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, COMPUTER VIRUS, OR NETWORK FAILURE. Terms of Payment and Account Responsibilities

Purchasing Terms: ZNF, or its authorized service provider, facilitates all e-commerce transactions under this agreement. ZNF is not responsible for goods or services procured through external websites or pages, even if linked to our site. You must report any product issues for support within a 30-day period. The sole remedy for product issues and the maximum liability of ZNF will be the amount you paid for the product.

Acknowledgment of Payment Terms: You acknowledge Z Natural Foods' right to charge for its services and that it may change fees at its discretion. If your account or membership is terminated due to a breach of the Agreement, you are not entitled to any refund of prepaid fees or payments. By purchasing or using ZNF credits or making direct payments, you commit to comply with our payment terms, as set by ZNF.

Payment Procedures: Payment is required before acceptance or shipment of an order unless otherwise agreed by ZNF. Payments may be made via credit card, money order, wire transfer, or other prearranged methods, subject to credit approval. Invoices are due within the specified period, and ZNF may invoice parts of an order separately. Price quotations are valid for the period stated, and all orders are only binding upon ZNF's acceptance.

Order Acceptance and Limitations: An order confirmation does not signify our acceptance of your order or represent a binding offer to sell. We reserve the right to accept or decline your order up to the point of delivery. We may limit the quantity of your order and will notify you of such actions. Orders over $500.00 require pre-approval with an acceptable payment method as per our credit and fraud prevention policy. Title; Risk of Loss. The risk of loss passes from Z Natural Foods to the Customer upon shipment from Z Natural Foods’ facility. Loss or damage that occurs during shipping by a carrier selected by Z Natural Foods is Z Natural Foods’ responsibility. Loss or damage during shipping by a carrier selected by the Customer is the Customer’s responsibility. The title to the software will remain with the applicable licensor(s).

ZNF ALSO RETAINS THE RIGHT TO DISQUALIFY OR WITHDRAW ANY PROMOTIONAL OFFER AT ITS SOLE DISCRETION.

ENTIRE AGREEMENT AND GOVERNING LAW

ENTIRE AGREEMENT CLAUSE: THIS AGREEMENT REPRESENTS THE FULL AND COMPLETE UNDERSTANDING BETWEEN YOU, THE USER, AND Z NATURAL FOODS (ZNF) CONCERNING THE USE OF THE ZNF WEBSITE. IT CONSTITUTES THE ENTIRE AGREEMENT BETWEEN YOU AND ZNF AND SUPERSEDES ALL PRIOR OR CONTEMPORANEOUS WRITTEN OR ORAL AGREEMENTS, COMMUNICATIONS, AND PROPOSALS RELATIVE TO THE ZNF WEBSITE. A PRINTED VERSION OF THIS AGREEMENT AND ANY ELECTRONIC NOTICES SHALL BE ADMISSIBLE IN JUDICIAL OR ADMINISTRATIVE PROCEEDINGS BASED UPON OR RELATING TO THIS AGREEMENT TO THE SAME EXTENT AS OTHER BUSINESS DOCUMENTS ORIGINALLY GENERATED AND MAINTAINED IN PRINTED FORM. BOTH PARTIES EXPRESSLY DESIRE THAT THIS AGREEMENT AND ALL RELATED DOCUMENTS BE WRITTEN IN ENGLISH AND THAT THE LANGUAGE OF THIS AGREEMENT SHALL PREVAIL IN THE EVENT OF ANY CONFLICT OR DISCREPANCY.

GOVERNING LAW: THIS AGREEMENT, INCLUDING ALL TERMS CONTAINED HEREIN, SHALL BE GOVERNED AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF THE STATE OF FLORIDA, EXCLUDING ITS CONFLICT OF LAWS RULES. BY ENTERING INTO THIS AGREEMENT, YOU WAIVE ANY AND ALL OBJECTIONS TO THE EXERCISE OF JURISDICTION OVER YOU BY SUCH COURTS AND THE VENUE IN SUCH COURTS.

Dispute Resolution, Binding Arbitration, Waiver of Class Action Rights, Severability, and Legal Rights Agreement.

PLEASE READ CAREFULLY. THIS SECTION SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Inauguration of Preliminary Dispute Resolution Process: Z Natural Foods prioritizes customer satisfaction and urges you to initially approach our Customer Care team with any concerns regarding Services, as many issues are typically resolved promptly through these initial discussions. To expedite resolution and reduce associated costs of any potential Dispute (defined hereafter), both parties agree first to undertake a sixty (60) day period of informal negotiation, known as the "Initial Dispute Resolution Period," beginning upon receipt of a written Dispute notice from the other party. Notices from you should be directed to legal@znaturalfoods.com, and we will send our notices to the email address you have provided.

A valid Dispute notice initiating the Initial Dispute Resolution Period must include (a) a "Notice of Dispute" in the subject line; (b) a comprehensive description of the claim or dispute and relevant circumstances; (c) the date the Dispute arose; (d) the specific remedy or resolution being sought; and (e) the name, email, and physical address of the party initiating the Dispute. This period will feature a conference aimed at amicably resolving the dispute, requiring your personal (or telephone/videoconference) attendance, with optional participation from your counsel. Unless otherwise agreed, each Dispute will be addressed in an individualized conference. Compliance with this informal resolution process is a mandatory condition precedent to any subsequent arbitration or litigation.

The statutes of limitations and any filing deadlines related to the Dispute will be tolled during the Initial Dispute Resolution Period. Failure to engage in this required informal negotiation process may result in judicial intervention to halt any further arbitration or litigation related to the Dispute. Furthermore, the arbitration provider is directed to refuse the administration or charging of fees for any arbitration that breaches the terms of this process, except where such refusal is prohibited by law.

Acknowledgment of Interstate Commerce and Governing Law: The parties recognize that the Terms set forth are part of a transaction affecting interstate commerce. Accordingly, any arbitration conducted pursuant to these Terms of Use (TOU) shall be regulated by the Federal Arbitration Act (9 U.S.C., Sections 1-16). Both parties—You and Z Natural Foods (ZNF)—agree that any dispute, claim, or controversy arising after the effective date of these Terms, including but not limited to those stemming from these TOUs or your use of the Services ("Dispute"), shall be definitively resolved through binding arbitration, except as explicitly exempted in the section titled "Exceptions to Binding Arbitration."

Initiation of Binding Arbitration: Should a Dispute persist beyond the Initial Dispute Resolution Period, and any further discussion or negotiation, either party may initiate binding arbitration. This arbitration shall be conducted according to the Comprehensive Arbitration Rules and Procedures of JAMS, including any applicable Expedited Procedures, unless it constitutes a Mass Arbitration to be conducted before NAM, as explicitly defined previously. The relevant JAMS procedural guidelines can be accessed via their website.

In the instance where JAMS is unavailable to administer the arbitration, either party may present the Dispute to another recognized national arbitration entity that manages disputes in a manner substantially similar to the Expedited Procedures of the JAMS Comprehensive Arbitration Rules. Potential alternatives include but are not limited to the American Arbitration Association (AAA), FORUM, or any other platform jointly sanctioned by You and Z Natural Foods. In the event of any discrepancy between the chosen Arbitration Administrator's rules and this Arbitration Agreement, the terms of this Arbitration Agreement shall prevail. Arbitrators selected to resolve the Dispute must be duly licensed legal practitioners in the state of the arbitration. They should possess in-depth knowledge of the substantive laws relevant to the Dispute.

Decisiveness and Confidentiality of Arbitration Outcome: The verdict delivered by the arbitrator(s) shall be conclusive, compelling both parties and may be transformed into a judicial decree in any court with appropriate jurisdiction. Both parties undertake to preserve the confidentiality of the arbitration process and its results, except where disclosure is mandated by legal obligation or is imperative for the implementation or facilitation of the arbitration. This confidentiality commitment encompasses all facets of the arbitration, including its occurrence, discussions, and the resultant award, except when an authoritative legal directive necessitates disclosure.

Arbitration Rights and Obligations: The parties to this agreement, herein identified as the "Customer" (inclusive of Reseller, Wholesaler, Consumer, and/or Website Visitor) and "Z Natural Foods" (encompassing its assignees, agents, employees, consultants, independent contractors, officers, parent companies, sister companies, directors, shareholders, subsidiaries, members, affiliates, predecessors, successors, suppliers, and licensors, collectively known as "Service Providers"), mutually acknowledge the right and retain the authority to require that any Dispute of any nature, arising at any time, be resolved exclusively through binding arbitration. This encompasses a comprehensive range of disputes, including those arising from contractual agreements and tortious conduct, as well as statutory, common law, intentional tort, and equitable claims. Either party may invoke the binding arbitration process at any suitable time following the established protocols.

Commencing Arbitration: Upon the conclusion of the Initial Dispute Resolution Period, any party electing to initiate arbitration shall provide a formal written demand to the opposing party and submit the same to the agreed-upon arbitration provider. Parties initiating arbitration against ZNF must direct their written demands to Z Natural Foods, LLC., with attention to General Counsel, at the designated address. By submitting a demand for arbitration, the initiating party and its legal counsel certify that after a reasonable inquiry, they ascertain that (i) the arbitration is initiated in good faith and not for purposes of harassment or undue delay; (ii) the claims presented are supported by existing law or a well-founded argument for the modification or establishment of new legal principles; (iii) factual assertions are, or upon reasonable investigation will likely be, supported by evidence; and (iv) all preliminary requirements, including the Initial Dispute Resolution Period, have been met.

Both parties shall engage in all necessary procedures and execute all relevant documents to conduct the arbitration proceedings as stipulated herein effectively. The designated arbitrator will have the authority to address and make rulings on pertinent dispositive motions within the arbitration, such as motions for judgment on the pleadings, summary judgment, or partial summary judgment.

All involved, including the Arbitration Administrator, arbitrators, and the disputing parties, aim to conclude arbitration proceedings within 180 days from the initiation of the claim, to the extent feasible. Confidentiality throughout the arbitration process is imperative and shall be maintained by all involved parties, except where disclosure is necessitated within the ordinary course of business or as mandated by law. The provisions of this confidentiality clause are to be interpreted in a manner that preserves and protects the sanctity and privacy of the arbitration process. Both parties recognize the transaction's impact on interstate commerce and affirm that this Arbitration Agreement and the resultant proceedings are governed by the Federal Arbitration Act (Title 9 of the U.S. Code). In circumstances where federal law is not pertinent, unenforceable, or void, the laws of the State of Florida shall apply.

Designation of Venue and Arbitration Procedure: For U.S. residents, arbitration hearings shall be held within the county of your residence or at another mutually consented location. Non-U.S. residents shall attend arbitration hearings in Palm Beach County, Florida, United States, or another mutually agreed location. Should the amount in dispute for any claim or counterclaim not exceed $25,000, the resolution process shall primarily involve the submission of documents unless the arbitrator, at their discretion, calls for an in-person hearing. You and Z Natural Foods (ZNF) reserve the right to participate in in-person hearings remotely, except where the arbitrator specifies otherwise. All arbitration proceedings shall be conducted in English.

Unless otherwise dictated by the arbitration agreement, both parties hereby submit to the exclusive jurisdiction and venue of state or federal courts located in Palm Beach County, Florida, for any disputes ineligible for arbitration, with the exception of disputes qualifying for small claims court proceedings, which may be initiated in the county of your residency. Both parties waive any objections to jurisdiction, venue, or inconvenient forum in these matters.

Arbitration will be conducted before a single neutral arbitrator, focusing exclusively on the dispute between you and Z Natural Foods. The arbitration will occur in English in Palm Beach County, Florida, whether in person, via telephone, or through video conference, depending on what is agreed upon by both parties or as determined necessary by the arbitrator. The arbitration process will be dedicated to a timely and efficient exchange of necessary documents.

Small Claims Court Alternative: Both parties maintain the option to pursue relief for disputes or claims within the jurisdictional limits of small claims court. In the event arbitration is initiated prior to the formal appointment of an arbitrator, either party may opt for the dispute to be resolved in small claims court by providing written notice to the opposing party and the arbitration provider. Upon receipt of such notice, the arbitration provider may close the case, and neither party will be obligated to pay filing fees. Any disagreement over the appropriateness of small claims court jurisdiction shall be determined by the small claims court or another court with competent jurisdiction, not the arbitrator.

Authority and Resolution of Arbitrator: The arbitrator is tasked with providing both parties with a written, final, and binding decision. Upon request, the arbitrator will furnish a statement detailing the reasons behind the decision. The arbitrator is bound to follow applicable law in making their decision. The decision or award rendered by the arbitrator may be formalized as a judgment in any court with appropriate jurisdiction. Both parties agree to respect and adhere to the arbitrator's decision as the conclusive resolution of the dispute.

Arbitrator's Authority and Scope Determination: The arbitrator is vested with the exclusive responsibility to delineate the scope and applicability of this arbitration agreement, including ascertaining whether a particular Dispute falls within the purview of arbitration. The arbitrator holds sole jurisdiction over addressing issues related to the arbitration agreement's validity, enforceability, or extent. Moreover, the arbitrator is empowered to provide any remedy or relief that would be available in a court, pursuant to legal or equitable principles, including but not limited to injunctive relief and the issuance of damages.

Cost and Fee Allocation: Both parties' rights to recoup attorneys' fees, costs, and arbitration fees arising from disputes under this Agreement are contingent upon the prevailing laws and any pertinent arbitration rules. The Arbitration Administrator will stipulate the exact fees and expenses incurred throughout the arbitration, adhering to any restrictions laid down by applicable law. The Arbitration Administrator is also tasked with determining the appropriate costs of any arbitration you initiate, ensuring that such costs remain within any legal boundaries set for fees and expenses under this Agreement.

Each party shall typically bear their own costs for attorneys', experts', and witnesses' fees, irrespective of the arbitration's outcome, unless otherwise dictated by law. This equitable stance is designed to foster a fair dispute-resolution environment. However, in cases where one party presents claims, defenses, or procedural strategies that are clearly unfounded, malicious, harassing, or frivolous, the other party may petition the arbitrator for an award of attorneys' fees and related costs. The arbitrator's decision to grant such fees and costs will be discretionary, grounded in the specifics of the case, applicable laws, and the rules established by the JAMS.

Configuration of Mass Arbitration with NAM: Notwithstanding any previous agreements to utilize JAMS for arbitration proceedings and acknowledging the specified exceptions within the "Exceptions to Binding Arbitration" section, if there arises a scenario where twenty-five (25) or more arbitration demands related by similar subject matter or shared legal or factual issues are presented by the same or coordinated counsel, such an instance shall constitute a "Mass Arbitration." In such cases, it is agreed that Mass Arbitration will not be governed by JAMS Rules nor administrated by JAMS. Rather, such proceedings shall be administrated by National Arbitration and Mediation (NAM), a recognized arbitration entity, and will be subject to the prevailing NAM Rules, specifically excluding any rules that facilitate class-wide arbitration ("NAM Rules"), available through NAM's official resources. Both parties agree to conform to the specific Mass Filing Supplemental Dispute Resolution Rules and Procedures set forth by NAM for Mass Arbitrations. Before commencing any Mass Arbitration with NAM, the parties will collectively inform NAM of their intent to engage in these specific protocols. Each individual claim within the Mass Arbitration must be submitted in accordance with the forms and directives established by NAM. If either party fails to proceed with a Mass Arbitration or adhere to its protocols, the other party retains the right to petition NAM for enforcement orders to facilitate the administration of the Mass Arbitration. All related arbitrations within the Mass Arbitration and associated arbitration fees shall be deferred pending the resolution of these enforcement measures. In instances where the Mass Arbitration procedures are found invalid or if NAM declines administration, the disputes constituting the Mass Arbitration will be managed by the American Arbitration Association (AAA) consistent with the Dispute Resolution terms of this Agreement.

Management and Efficiency in Mass Arbitration: Both parties shall engage collaboratively in the Mass Arbitration proceedings to ensure a streamlined and cost-effective approach. This cooperative effort includes (1) the designation of a Procedural Arbitrator responsible for the efficient orchestration of the Mass Arbitration, including the decision-making on any party's proposals aimed at enhancing the arbitration process in the absence of mutual agreement, and (2) the formulation of an expedited schedule for the arbitration proceedings. These steps are designed to expedite the resolution process and minimize the costs and complexities typically associated with Mass Arbitrations.

Class and Collective Action Exclusion: To the fullest extent allowed by applicable law, the parties, designated as "You" and "Z Natural Foods (ZNF)," hereby mutually agree to exclusively resolve any disputes on an individual basis exclusively, expressly renouncing participation in any class action, collective action, or class arbitration. Prohibition on Class Proceedings: Both parties distinctly concur that all claims or disputes shall be brought by either party solely in their individual capacity and not as a plaintiff or member in any purported class, collective, or representative proceeding. Additionally, the arbitrator is not authorized to combine multiple individual claims or oversee any form of collective or class proceedings unless expressly agreed upon by both parties. Should You contravene these terms by initiating a class or representative action against ZNF, You will be liable to compensate ZNF $500 daily until such action is retracted and will be responsible for all related costs and legal fees incurred by ZNF. The stipulations of this binding arbitration remain valid and enforceable.

Jury Trial Waiver: By agreeing to these Terms of Use (TOU), both You and ZNF deliberately waive the right to a trial by jury in any judicial proceedings and forgo any right to participate in class actions. This Agreement is regulated and interpreted under the Federal Arbitration Act. An exception to this agreement allows You and ZNF to pursue resolution in a small claims court for disputes falling within that court's jurisdiction. In instances where either party fails to adhere to the agreed binding arbitration after a legitimate request, the non-complying party will bear all costs and expenses incurred by the other party in enforcing this arbitration provision.

Prescriptive Period for Commencement of Actions: Notwithstanding any contrary statute or law, it is mutually acknowledged and agreed that any claim or cause of action arising out of or related to the use of the Services or adherence to these Terms must be initiated within one (1) year from the date such claim or cause of action arose. Failure to initiate within this timeframe will result in the permanent waiver and forfeiture of said claim or cause of action. Moreover, the stipulations and obligations under this Arbitration Agreement shall persist and remain binding on both parties beyond any termination, modification, expiration, or discontinuation of the contractual relationship between You and Z Natural Foods.

Arbitration Procedure and Enforceability: Should any segment of this Dispute Resolution and Arbitration Section be found unenforceable or invalid by a court or arbitrator with proper jurisdiction, that particular provision will be severed from this section. The remaining provisions of the Arbitration Section shall persist and remain in full force and effect, thereby continuing the arbitration agreement. Both parties explicitly renounce any right to consolidate individual proceedings or to engage in any class action lawsuit, collective action, or act in the capacity of a private attorney general in arbitration. Notwithstanding these stipulations, if the ban against class or collective actions is found unenforceable for a specific claim or request for relief after all appeals are exhausted (or the decision is deemed final), then that particular claim or request for relief will be stayed, and directed to a court of competent jurisdiction, while all other claims or requests for relief shall proceed through arbitration.

Opt-Out Option: You are afforded a 30-day period to opt out of the arbitration and class action waiver provisions delineated herein. To exercise this option, you must deliver a clear and written notice of your decision to opt-out by emailing legal@znaturalfoods.com within thirty (30) days following your initial use of the Service or from the effective date of the first set of Terms containing the Arbitration and Class Action and Class Arbitration Waiver provisions. Failure to communicate your decision to opt-out within this specified period will be interpreted as your consent to resolve disputes under the terms of these arbitration provisions. Product Diversion and Controlled Resale of ZNF Products

Compliance and Personal Use Agreement. Customers acknowledge and agree to abide by all applicable laws and regulations of the various states and of the United States. Customers represent and warrant that they are purchasing Z Natural Foods (ZNF) products solely for personal use and not for the purpose of resale.

Authorized Resale Restrictions. The resale of ZNF products is strictly limited to our designated authorized retail partners. No other parties may engage in the sale of ZNF products or purchase products from ZNF.com or through an authorized retail partner with the intention of reselling them. Without ZNF's express written consent, no person or entity is authorized to sell ZNF products on any e-commerce platform, including but not limited to Amazon, eBay, or Walmart. Authorized retail partners are required to refrain from selling ZNF products to any third party known or suspected of intending to resell them. In instances where an authorized retail partner is informed, either independently or by ZNF, of sales to an unauthorized reseller, the partner must immediately cease such transactions.

Product Handling and Storage. Authorized retail partners are obligated to adhere to all ZNF stipulations regarding handling and storage of products in accordance with Material Safety Data Sheets and other ZNF requirements. Products must be stored in secure, climate-controlled environments. In the interest of consumer safety, authorized retail partners are expected to fully cooperate with ZNF in any product recalls or dissemination of consumer safety information. Retail partners must also maintain operational customer service functions, including phone and email support, to address customer complaints, returns, and other service-related matters. Partners must represent ZNF products accurately using current product images and offerings. Unauthorized retailers are prohibited from using any ZNF copyrights or trademarks.

Packaging and Branding Compliance. Authorized retail partners are to sell ZNF products exclusively in their original packaging. Any form of relabeling, repackaging, or alteration to ZNF products or their packaging is strictly prohibited. Tampering with, altering, or removing any serial numbers, UPC codes, batch or lot codes, SKUs, or other identifiers on products or packaging is forbidden. Authorized retail partners must not modify any labels or literature accompanying ZNF products. ZNF trademarks, logos, icons, product names, taglines, and slogans are permitted only as explicitly authorized by ZNF. Retail partners must remove any ZNF trademarks upon request by ZNF and must not combine ZNF products with non-ZNF products in a way that implies endorsement or association by ZNF. With written consent from ZNF, certain authorized retail partners may be exempt from some of these restrictions for valid business reasons.

Quality Inspection and Reporting. Upon receipt of ZNF products, authorized retail partners are required to inspect the products for damage, defects, tampering, expiration, or other non-conformities. Defective products must not be sold and should be promptly reported to ZNF.

Unauthorized Resale and Warranty Voidance. ZNF does not support the unauthorized resale of its products. ZNF cannot ensure the quality of products sold by unauthorized sellers or through unauthorized channels. Customers are urged to purchase directly from ZNF or its authorized retail partners. ZNF explicitly disclaims any warranty or satisfaction guarantee for products purchased from unauthorized resellers. ZNF reserves the right to cancel orders, restrict future purchases from customers suspected of purchasing for resale purposes, or circumvent quantity limits through multiple accounts.
